ACRA annual return and AGM deadlines for private companies

For private companies, the AGM is due within 6 months after the financial year-end and the annual return within 7 months. Here is how the calendar works.

Every Singapore company has annual ACRA obligations tied to its financial year-end. For private companies, the AGM is due within 6 months after the financial year-end, and the annual return within 7 months after the financial year-end.

For example, with a 31 December year-end, the AGM is due by 30 June and the annual return by 31 July.

The annual return can only be filed after the AGM has been held or, where no AGM is required, after the financial statements have been sent to members. That makes finished financial statements the real critical path, so late bookkeeping is the most common reason annual returns are filed late.

A simple routine helps: close the books within a month or two of year-end, prepare the financial statements, hold or dispense with the AGM as applicable, then file the annual return.
